Your cap table should be prepared on a fully-diluted basis. This means it should include all dilutive elements including:
A list of all of your existing shareholders and the number of shares held by each of them
The total number of options that your company has granted or which exist in a “pool” available for allocation, e.g. to your employees. This is the total number of options/shares available to be allocated, not just those that have been allocated already.
The shares that would be issued if any convertible loans issued by the company were to be converted, or any warrants were exercised.
