In some cases, we will approve corporate actions on behalf of investors if it is clearly in their interests. For example, we would approve a resolution to make an administrative change to your articles of association or waiver of pre-emption rights on a new investment round at a significantly higher valuation, if there were urgent time pressures.
When we are required to poll investors to tell us how they want the nominee to act, this is managed entirely by us and our purpose-built nominee software, which makes the process efficient and effective for both you and your investors. Typically, we look for a minimum of 5 days to hold a poll, which is usually the same time a company allows for circulating a resolution to investors, but this can be shorter if necessary. The process of issuing a poll takes a matter of minutes and results are weighted by shareholding and tracked in real-time, so that action can be taken immediately after the poll has closed.
